Offer Letter Format in India: Templates and Clauses

An offer letter is the document that formally offers employment, stating the role, compensation, joining date and the main conditions. In Indian practice it usually precedes a detailed appointment letter or employment agreement, which contains the full terms. Many companies combine them, which is acceptable, but the distinction is worth understanding because it determines what is binding and when.

Getting the offer letter right matters for two reasons that have nothing to do with paperwork. A clear, fast, well-drafted offer improves acceptance rates. And a vague one creates disputes at exit, when the cost of ambiguity is highest.

What is the difference between an offer letter and an appointment letter?

An offer letter offers the position and states headline terms, usually conditional on verification and documentation. An appointment letter is issued on or before joining and sets out the full terms of employment.

The practical risk is treating the offer letter as a complete contract. If it is silent on notice period, probation or confidentiality, and no appointment letter follows, you have an employment relationship on very thin terms. Conversely, an offer letter that contradicts the later appointment letter creates an argument about which governs.

Either combine them deliberately into one comprehensive document, or make the offer letter explicitly conditional and subject to the appointment letter that follows.

What should an offer letter contain?

Twelve elements cover the standard Indian offer letter.

1. Date and candidate details. Name and address.

2. Position and reporting line. Designation, department, and who they report to.

3. Location. Specific place of work, plus any transfer clause if you genuinely need one.

4. Joining date. With a stated validity for the offer itself.

5. Compensation. Annual CTC with a full breakup, covered below.

6. Probation period. Duration and what confirmation depends on.

7. Notice period. Both during probation and after confirmation, and for both sides.

8. Working hours and leave. Or a reference to the policy that governs them.

9. Conditions precedent. Background verification, document submission, medical if applicable, relieving letter from the previous employer.

10. Confidentiality and intellectual property. Or a reference to the agreement containing them.

11. Governing policies. That employment is subject to company policy as amended.

12. Acceptance. Signature, date, and a deadline.

How should the CTC breakup be presented?

Transparently and completely, because this is where most offer-stage disputes originate. A candidate who discovers at their first payslip that take-home is far below what they assumed will start disengaged, and some will leave.

A standard Indian CTC structure:

Three points worth stating explicitly in the letter:

Employer EPF, gratuity provision and insurance are part of CTC but not part of monthly take-home. Saying so in one line prevents a common and avoidable grievance.

Gratuity becomes payable under the Payment of Gratuity Act after five years of continuous service. Including it in CTC from day one while it vests only at five years is standard practice, and worth being transparent about.

Variable pay should state what it depends on and when it pays. "Up to 20% performance bonus" without conditions is read by candidates as guaranteed and by employers as discretionary.

What are the key clauses to get right?

Five clauses cause most of the disputes.

Probation. Commonly three to six months in India, extendable. State what happens on confirmation, and note that employment continues on the same terms unless confirmed otherwise, so silence on confirmation can mean deemed confirmation depending on the wording.

Notice period. State it separately for probation, usually shorter, and post confirmation. Make it reciprocal. If you want the option of payment in lieu of notice, say so, and be aware that a clause allowing the employer to waive notice while requiring the employee to serve it is one-sided and may be viewed unfavourably.

Non-compete. This is the clause most commonly drafted badly in India. Under Section 27 of the Indian Contract Act, agreements in restraint of trade are void, and Indian courts have generally not enforced post-employment non-compete restrictions that prevent someone from earning a livelihood. Non-compete during employment is a different matter and is generally enforceable. Confidentiality and non-solicitation clauses are also treated differently from a general restraint on employment. Draft accordingly and take legal advice rather than copying a template from another jurisdiction.

Confidentiality and IP assignment. These are enforceable and important. Make sure IP created during employment assigns to the company, and that the clause is present before the person starts work rather than added later.

Conditions precedent. Be specific about what the offer is conditional on. "Subject to satisfactory background verification" is standard. Define what satisfactory means if you intend to rely on it.

What is the legal status of an offer letter in India?

An accepted offer letter generally creates a binding agreement, and revoking it after acceptance can create liability. This is a point where Indian practice differs from the assumption many employers carry over from other markets.

The practical position:

  • Once an offer is made and accepted, a contract can be held to exist even before the joining date
  • Candidates who resign from a previous role in reliance on an offer and then have it withdrawn have, in some cases, sought and obtained relief
  • The employment relationship in India is not at-will. Termination is governed by the contract and by applicable labour legislation

The operational implication: do not issue offers you may withdraw. Complete internal approvals and verification sequencing before the offer goes out, not after. If verification is genuinely pending, make the condition explicit and specific rather than issuing an unconditional offer and hoping.

How do you improve offer acceptance rates?

Offer acceptance is where competitive hiring is won and lost, and most of the levers are process rather than money.

What works:

Move fast. Verbal offer within 24 hours of decision, written within 48. Your best candidate has other conversations running.

Have the compensation conversation early. Discussing expectations at screening rather than at offer means the number is a confirmation, not a negotiation. Offers that surprise candidates get declined or countered.

Let the hiring manager make the verbal offer. Not HR. Candidates accept teams and managers more than they accept companies.

Give a realistic deadline. Three to five working days. A 24 hour ultimatum reads as pressure and damages the relationship even when accepted.

Ask directly what would make them decline. Most candidates answer honestly, and the answer is usually addressable.

Prepare for the counter-offer. In India, counter-offers from the current employer at resignation are common. Discuss it before it happens, because a candidate who has thought it through in advance is far more likely to hold.

What documents should you collect?

Standard pre-joining documentation in India:

  • Signed offer and appointment letter
  • Identity and address proof, PAN, Aadhaar
  • Educational certificates and marksheets
  • Previous employment relieving letter and experience letters
  • Last three months' payslips and Form 16, where salary verification applies
  • Bank details for salary credit
  • Passport-size photographs
  • UAN details for EPF transfer
  • Nomination forms for EPF and gratuity

Collect these against a checklist with a deadline, and start early rather than in the final week. Missing documentation is a common cause of joining delays, and a joining delay is a drop-off risk. Under the Digital Personal Data Protection Act 2023, note that this is a substantial collection of personal data, so retention and access controls need a policy.

Two specifics worth acting on. State plainly which CTC components are not take-home, because that single line prevents the most common early grievance. And do not issue offers you might withdraw, because an accepted offer in India can create obligations well before anyone joins.
